Introduction

Parsec Education, Inc., together with its wholly-owned subsidiaries, including ParsecReel, LLC and Parsec Academy, LLC (collectively, “Parsec,” “we,” “us,” “our”), provides Software-as-a-Service (“SaaS”) and Mobile and Web Apps (“Apps”) for K-12 schools, school districts, and local education agencies (“Educational Institutions”), a Web App for educators that provides training, curriculum, and best practices for educators (“Parsec Academy”), and analytics dashboard products, including free and paid tiers, that provide access to publicly available and institution-connected educational data (“Dashboard”).

This Privacy Statement provides information on how Parsec collects, uses, maintains, protects, and discloses personal information when you use our Services, including when Educational Institutions, their staff, parents/guardians, and students use our SaaS or Apps, when educators use Parsec Academy, when individuals or Educational Institution personnel access our analytics Dashboard (including Free Tier Accounts), and when you visit our website at https://www.parseceducation.com/ (the “Website”) (collectively, “Parsec Services”).

This Privacy Statement only applies to the personal information we collect and process in connection with our Website, Parsec Services, and Parsec Academy, and it does not apply to any third party.

When you visit or log in to our website, cookies and similar technologies may be used by our online data partners or vendors to associate these activities with other personal information they or others have about you, including by association with your email. We (or service providers on our behalf) may then send communications and marketing to these email. You may opt out of receiving this advertising by visiting our Cookie Notice.

1. Personal Information We Collect

Personal Login Information: If you are a Client accessing and using Parsec Services or Parsec Academy or a Client’s end user (student, parent/guardian, educator, school or school district staff member) who has created a Parsec account, you may be prompted to provide Parsec your name, email address and other personal information. We will not disclose your Personal Login Information outside of Parsec except as described in this Privacy Notice.

Free Tier Account Registration Information: If you register for a Free Tier Account on our analytics Dashboard, you will be asked to provide your name, email address, and may be asked to provide your organizational affiliation, professional role or title, phone number, and other professional information. This information is collected to create and maintain your account, to communicate with you about the Services, and to understand how our products are used across the educational community. We may use this information, together with usage data described below, to provide you with product information, feature updates, and promotional communications regarding paid tiers of the Dashboard, subject to your communication preferences and applicable law or in any other way described herein.

Parsec, and third party service providers we hire to perform business functions on our behalf (“Service Providers”) may collect, receive and use various categories of personally identifiable information (“PII”) about you. PII is any information that relates to an identified or identifiable individual. Different pieces of information, which, when combined, can lead to the identification of a particular person, is also considered personal PII. The type of PII we collect about you depends on the nature of your interactions with us and the purposes for which you are using Parsec Services or Parsec Academy. For example, if you are one of our Clients, we collect Personal Information necessary to maintain your organization’s account with us.

If you are a consumer who has visited our Website, we may not need to collect as much information from you, however, if you are a consumer who visited our website and signed up for marketing information, then more information may be required. Such PII for the above may include the following:

A. Contact Information and Identifiers: A real name, alias, postal address, unique personal identifier, online identifier, Internet Protocol address, email address, account name, address, telephone number.

B. Protected Classification Characteristics: Except with your prior written consent, we do not collect Protected Classification Characteristics..

C. Commercial Information: Records of products or services purchased.

D. Internet activity: Browsing history, search history, information on a consumer’s interaction with a website, application, or advertisement.

E. Inferences drawn from other personal information: Profile reflecting a person’s preferences, characteristics, psychological trends, predispositions, behavior, attitudes, intelligence, abilities, and aptitudes.

F. Other Information: We collect information when you register or open an account, sign in, pay a bill, contact us for support, or provide us feedback. Also, we collect information that you may provide or create when you interact with our Website. We may also automatically collect certain usage information when you access our Website (“Usage Data”), such as Internet Protocol (“IP”) addresses, log files, click stream data, unique device identifiers, pages viewed, browser type, any links you click on to leave or interact with our Website, and other usage information collected from cookies and other tracking technologies. For example, we collect IP addresses to track and aggregate non-personal information, such as using IP addresses to monitor the regions from which users navigate to our Website. We also collect IP addresses from users when they log into the Website as part of our log-in and security features.

H. Dashboard Usage and Analytics Data: When you access and use the Dashboard, including through a Free Tier Account, we collect information about your interactions with the platform, including pages and features accessed, data queries performed, reports and visualizations viewed, session duration, frequency of access, clickstream data, and feature engagement metrics (“Dashboard Usage Data”). We use Dashboard Usage Data to operate and improve the Services, to understand usage patterns, to personalize your experience, and, for Free Tier Account users, to provide targeted product recommendations, feature suggestions, and promotional communications regarding paid tiers and premium features. Dashboard Usage Data may be combined with your registration information to create usage profiles for these purposes.

I. Third-Party Authentication: If you choose to register for or log in to an account using a third-party authentication service (such as Google Single Sign-On), we may receive your name, email address, and profile information from that service in accordance with the authorization you grant during the authentication process. We do not receive or store your password for the third-party service.

Our Website may change over time and we may introduce new features that may collect new or different types of information.

2. Student Data

The provisions of this Section 2 apply to Student Data received from Educational Institutions. For data received from Organizational Clients that are not Educational Institutions, processing is governed by the applicable Service Order, the Terms of Service, and the general provisions of this Privacy Statement, but the FERPA-specific designations and processes described in this Section 2 do not apply.

Parsec Clients mainly consist of Educational Institutions (K-12 schools and school districts) and educators. Parsec receives Student Data from its Clients and their Users (staff, faculty, parents/guardians and students), and processes Student on behalf of its Clients as a data processor. Parsec’s processing is strictly controlled by the Client through contractual obligations, including student data privacy agreements. User access to these Parsec products and services, such as the SaaS and Apps, are restricted and controlled by the Client.

A. Student Data Ownership: Student Data provided to Parsec by Clients for processing is owned, and thereby controlled, by our Clients (Educational Institutions). If required under applicable law, our Clients are responsible for obtaining consent for Parsec to process Student Data.

B. Parsec’s Student Data Processing Role: For Student Data processed under the Family Educational Rights and Privacy Act (“FERPA”), a United States federal law governing access to educational information and records, the Client designates Parsec as a “School Official” with a legitimate educational purpose and Parsec is under the direct control and supervision of the Client with respect to our use of Student Data. Our Clients license Parsec Services and Parsec Academy and purchase certain professional services for the purpose of providing, maintaining, and supporting Student Data for those legitimate educational purposes. Parsec will only process Student Data for the purposes of providing access to Parsec Services and Parsec Academy that our Clients have contracted with us to provide, and we will process such Student Data according to instructions and the terms of our contract and student data privacy agreements with our Clients.  Educational Institutions are required to post information about the data that it collects to parents. Parsec does not use or disclose Student Data except as authorized and required by our Clients and as provided for in our agreements with our Clients.

C. Student Data Access, Review, Correction and Deletion Requests: Because Parsec does not own or control Student Data, any request for access, review, correction, or deletion of Student Data must come directly from our Clients.

D. Public Data and Analytics Offerings: Certain services provided by Parsec, including Free Tier Accounts on the analytics Dashboard, utilize publicly available, aggregated, or anonymized educational data published by state or local government agencies. These public data offerings do not collect, ingest, or process Pupil Records, student personally identifiable information, or student education records subject to FERPA, COPPA, PPRA, SOPIPA, or California Education Code Section 49073.1. The Student Data provisions of this Section 2, including Parsec’s designation as a “School Official” under FERPA, apply only to Services provided to Educational Institutions under a Service Order that involves the processing of Pupil Records or student data. Paid tiers of the Dashboard that integrate data from an Educational Institution’s student information systems, local assessments, or other institutional data sources pursuant to a Service Order are subject to the Student Data provisions of this Section 2, and such data may be received by Parsec through direct API integration, secure file transfer, manual file upload, or other transmission methods agreed upon with the Educational Institution.

3. Children’s Privacy

As noted above, under FERPA, Parsec acts as a “School Official” with “legitimate educational interests” and contractually relies on Educational Institutions to obtain parental consent, if required. Parsec has processes and procedures in place to protect the personal information of children under 13, as detailed below. We do not use such information for any purpose other than to provide our services and for the specific uses set forth below, in accordance with contractual agreements with our Clients and our terms of service.

A. Consent to Collect, Use, or Disclose Personally Identifiable Information from Children Under 13: Children under 13 may only use Parsec’s Services with the prior consent of a parent or Educational Institution acting on behalf of the child’s parent. We will not collect, use, or disclose any personally identifiable information from children under 13 without such consent. Educational institutions may consent to the collection, use, or disclosure of personally identifiable information from children under 13 by agreeing to purchase and use our products and services.

B. Personal Information from Children Under 13 Provided to Parsec: Parsec products may collect the following categories of personal information from children under 13, with the appropriate consent:

– Information provided by Clients or through use of Parsec’s Services, assessment data, conduct or behavior data, demographic data, enrollment data, contact information, course schedule data, online communications, student identifiers (e.g., school ID number), academic or extracurricular program membership, student-generated content.

– Usage, browser and device information. Parsec does not allow personal information from children under 13 to be made publicly available via its services. Parsec does not share personal information from children under 13 with third parties unless consented to under our Client agreements or necessary under the law.

– Service providers, partners, and product integrations. Our service providers help us with things like data security, cloud hosting, information technology, Client support, usage and analytics, email delivery, application performance monitoring, and user identity and authentication. In addition, some of our Products may support partnerships and integrations that offer certain features to users, like automations, real-time data analysis, and consultation services.

– Administrative and legal reasons. When reasonably necessary to meet and comply with any applicable law, regulation, legal process or enforceable governmental request; enforce applicable terms of service, including investigation of potential violations; detect, prevent, or otherwise address fraud, security or technical issues; or protect against harm to the rights, property or safety of Parsec, our users or the public as required or permitted by law.

– Business transitions. In the event that Parsec goes through a business transition such as a merger, acquisition by another company, sale of all or a portion of its assets, bankruptcy, or other corporate change (including during the course of any due diligence process), this personal information may shared or transferred based on consent of our Clients. Our Clients, Educational Institutions, may share personal information of students with educators as needed for educational purposes. Parsec does not control and is not responsible for this type of sharing. If you are a parent and have questions about this, please contact your child’s Educational Institution.

Parsec does not share personally identifiable information from children under 13 for advertising or marketing purposes.

C. Parental Rights: For Parsec Services provided to Educational Institutions, the collection, maintenance, and use of personal information from children under 13 is controlled by the Educational Institution that contracts with Parsec for use of its Services. If you are a parent and have questions regarding personally identifiable information collected from your child as part of their educational institution’s use of Parsec’s Services, including your rights to review, delete, and refuse further collection of such information from your child, please contact your child’s Educational Institution. Parsec cannot delete such information unless authorized by your child’s Educational Institution.

D. Children’s Privacy for Non-Educational Organizations: Where Services are provided to an Organizational Client that is not an Educational Institution, and such Organizational Client’s end users may include children under 13, the Organizational Client is responsible for obtaining verifiable parental consent as required under COPPA prior to permitting children under 13 to use the Services. Parsec will process children’s personal information received from such Organizational Clients solely to provide the contracted Services and in accordance with this Privacy Statement. Parsec will not collect personal information directly from children under 13 in these contexts without verifiable parental consent. The rights described in Section 3.C (Parental Rights) apply to parents of children whose information is processed through any Organizational Client’s use of the Services, and requests should be directed to the applicable Organizational Client.

E. Public Data and Analytics Offerings: Certain services provided by Parsec, including Free Tier Accounts on the analytics Dashboard, utilize publicly available, aggregated, or anonymized educational data published by state or local government agencies. These public data offerings do not collect, ingest, or process Pupil Records, student personally identifiable information, or student education records subject to FERPA, COPPA, PPRA, SOPIPA, or California Education Code Section 49073.1. The Student Data provisions of this Section 2, including Parsec’s designation as a “School Official” under FERPA, apply only to Services provided to Educational Institutions under a Service Order that involves the processing of Pupil Records or student data. 4. Protecting Your Data

Parsec is committed to protecting your personal information. Parsec uses commercially reasonable physical, administrative, and technical safeguards to preserve the confidentiality, integrity, and availability of your personal information. Please note that no guarantee can be made stating that your information may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, administrative, and technical safeguards by a bad actor or third party hacker.

Data Location and Subprocessors. Parsec primarily stores and processes personal information in the United States. Parsec uses third-party service providers and subprocessors to assist in providing the Services, including for cloud hosting, data analytics, email delivery, customer support, and application performance monitoring. These service providers may access or process personal information on Parsec’s behalf and are contractually required to protect such information in accordance with this Privacy Statement and applicable law.

5. Tracking Technologies and Advertising

You can set your browser to refuse all or some browser cookies, or to alert you when cookies are being sent. If you disable or refuse cookies, please note that some parts of this Website or our Services may then be inaccessible or not function properly.

In addition to cookies used on our Website, the Dashboard and other Services may use analytics tools, session recording technologies, and similar tracking technologies to monitor and analyze usage patterns, feature engagement, and platform performance. You can manage cookie preferences through your browser settings or by visiting our Cookie Notice.

6. Promotional Offers from Parsec

If you do not wish to have your email address/contact information used by Parsec to promote its products or services, you can opt-out by clicking on the Unsubscribe link at the bottom of every email. This opt out does not apply to information provided to Parsec as a result of a subscription purchase, service experience or other transactions (which are not marketing related emails).

SMS and Text Message Communications. If you opt in to receive SMS or text messages from Parsec, we will use your phone number solely to send you the types of communications you consented to receive (which may include promotional messages, product updates, or transactional alerts, depending on your consent). Your phone number will not be shared with third parties for their own marketing purposes. You may revoke your consent to receive SMS communications at any time by replying “STOP” to any Parsec text message or by contacting privacy@parseceducation.com. Message frequency varies. Message and data rates may apply. Your consent to receive SMS communications is not a condition of purchasing any Parsec product or service or of maintaining any account, including a Free Tier Account.

7. Your Privacy Rights

Depending on where you are located and subject to applicable legal exceptions, you may have certain rights in relation to your personal information.

You may have the right to request to access, correct, update or delete your personal information, subject to certain applicable legal exceptions.

If we have collected and processed your personal information with your consent, then you can withdraw your consent at any time. Withdrawing your consent will not affect the lawfulness of any processing we conducted prior to your withdrawal, nor will it affect processing of your personal information conducted in reliance on lawful processing grounds other than consent.

The right to submit certain privacy requests through an Authorized Agent.

The right to be free from discrimination for exercising the rights afforded to you under applicable privacy laws.

The right to appeal a decision we make about your rights request.

Exercising your rights: To exercise your rights you must submit a request to privacy@parseceducation.com and include your full legal name, date of birth, email address and username. Once you have submitted your request, we will respond within the time frame permitted by applicable privacy laws. If you are an end-user of our customer, you must contact such party directly to exercise your privacy rights.

Please note, however, that your personal information may be exempt from such requests in certain circumstances, for example if we need to keep using your information to comply with our own legal obligations or to establish, exercise or defend legal claims. If an exception applies, we will inform you when responding to your request.

Verification: In order to protect your personal information, your ability to exercise some of the rights detailed in this Privacy Policy may be subject to your ability to verify that you are the person about whom your request pertains. For example, we may require you to verify your identity by validating your account credentials or submitting additional information to allow us to verify your identity. Authorized Agents: To exercise your rights using an Authorized Agent (as defined under applicable law), you must provide your Authorized Agent with written permission to exercise your rights on your behalf, and we may request a copy of this written permission from your Authorized Agent when they make a request on your behalf. We reserve the right to deny a request from an Authorized Agent that does not submit proof that they have been authorized by you to act on your behalf.

Appeals: If we refuse to take action on a request within a reasonable period of time after receiving your request, you may appeal our decision by emailing us at privacy@parseceducation.com. In such an appeal, you must (a) provide sufficient information to allow us to verify that you are the person about whom the original request pertains and to identify the original request, and (b) provide a description of the basis of your appeal. Please note that your appeal will be subject to your rights and obligations afforded to you under applicable law. We respond to all appeal requests as soon as we reasonably can, and no later than legally required.

Do Not Track: Please note that because the effect of “Do Not Track” signals remains unclear, and because there continues to be no consistent industry understanding of how to respond to such a signal, we do not alter our privacy practices when we detect a “Do Not Track” signal from your browser.

Under California Civil Code Section 1798 (“California’s Shine the Light”), California residents with an established business relationship with us can request information once a year about sharing their Personal Data with third parties for the third parties’ direct marketing purposes. After thorough analysis, we have determined that we are exempt from the California Consumer Privacy Act of 2018, and the later, California Privacy Rights Act of 2020 (collectively, “CCPA”).

If you’d like to request more information under the California Shine the Light law or other laws, and if you are a California resident, you can contact us using the contact information provided below.

If you are a resident of Nevada, you have the right to opt-out of the sale of certain Personal Data to third parties who intend to license or sell that Personal Data. You can exercise this right by contacting us as described below with the subject line “Nevada Do Not Sell Request” and providing us with your name and the email address associated with your account. Please note that we do not currently sell your Personal Data as sales are defined in Nevada Revised Statutes Chapter 603A. If you have any questions, please contact us as set forth below.

8. De-identified and Aggregated Data

Parsec may derive de-identified or aggregated data from your use of the Services, including from Dashboard Usage Data and account registration data. De-identified data has been processed to remove information that could reasonably identify you, your household, or your organization. Aggregated data has been combined with data from other users and sources such that no individual is identifiable. Parsec may use de-identified and aggregated data for any lawful business purpose, including product improvement, analytics, research, and benchmarking, without restriction and without additional notice or compensation to you. Parsec maintains commercially reasonable methodologies to ensure that de-identified data cannot reasonably be re-identified and commits to maintaining and using such data only in de-identified form.

9. Data Retention

In accordance with and as permitted by applicable law and regulations, we will retain your information as long as necessary to serve you, to maintain your account, or as otherwise needed to operate our business.

For Free Tier Accounts, if your account is terminated due to inactivity or any other reason described in the Terms of Service, we will retain your account registration data and Dashboard Usage Data for a period of twelve (12) months following termination, after which such data will be deleted or de-identified unless retention is required by applicable law or is necessary for the establishment, exercise, or defense of legal claims. During this retention period, you may request deletion of your data by contacting privacy@parseceducation.com, and we will process such requests in accordance with Section 7 of this Privacy Statement.

For Institutional Clients, retention of Client Data and Pupil Records is governed by the applicable Service Order, student data privacy agreement, and applicable law, including FERPA and California Education Code Section 49073.1.

10. Changes to this Privacy Statement

This Privacy Statement may change from time to time. If we make any changes to this Privacy Statement, we will post any changes on this page. Where we make any material changes to this Privacy Statement, we will make a more prominent notice in compliance with applicable laws. Your continued use of our Sites or Services following such posts or notices will signal that you have read and understand such changes. Please refer to the “Revised/Updated” date above to see when this Privacy Statement was last updated.
